1. Acceptance of these terms
By creating a BigBooks account, signing in to an application with BigBooks, calling the BigBooks API, or otherwise using the Service, you agree to these Terms of Use and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old to use the Service. If you use it on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.
2. The Service
BigBooks ("BigBooks", "we", "us") provides a financial data and accounting platform: a BigBooks account that you can use to sign in to participating applications, a double-entry ledger of your accounts and transactions, connections to financial institutions through data aggregators, budgeting and reporting, an API, and AI features (together, the "Service").
Applications that use BigBooks for sign-in or data ("Connected Apps") are built and operated by third parties. Your use of a Connected App is governed by that app's own terms and privacy policy. BigBooks is not responsible for Connected Apps, and a Connected App's terms cannot expand what BigBooks agrees to here.
3. Your account
You agree to provide accurate information when you create your account and to keep it current. You are responsible for keeping your password confidential, for every action taken with your account, and for the access you grant to Connected Apps and to other people. Tell us promptly if you suspect unauthorized use.
You may use the Service only for your own finances or for finances you are authorized to manage on behalf of another person or organization. You may not create accounts by automated means or for another person without their consent.
4. Connecting financial institutions
You may link accounts at banks, brokerages, card issuers, and other financial institutions through third-party data aggregators, or import statements yourself. You represent that you own each account you connect or are authorized by its owner to connect it.
BigBooks does not hold funds, move money, or act as a bank, broker, payment processor, or financial adviser. Information retrieved from your institutions is provided as we receive it; we do not guarantee that it is complete, timely, or free of errors, and your institution's own records control.
By using the Service, you grant BigBooks and Plaid Inc. the right, power, and authority to act on your behalf to access and transmit your personal and financial information from the relevant financial institution. You agree to your personal and financial information being transferred, stored, and processed by Plaid in accordance with the Plaid End User Privacy Policy.
5. Developers and API access
If you register an OAuth client or call the BigBooks API, you additionally agree that you will:
- Keep client secrets, tokens, and keys confidential and rotate them if they are exposed.
- Request only the scopes your application needs, describe your application accurately to users, and honor revocations immediately.
- Publish and follow a privacy policy for your application that is at least as protective of user data as ours.
- Respect rate limits and use the API only through documented endpoints and in the manner they are documented.
- Not use data obtained through BigBooks for advertising, resale, or credit decisions, or retain it after the user revokes your access, except as the user separately agrees with you.
6. AI features
The BigBooks assistant uses large language models to read your records, answer questions, and carry out tasks you ask for, including creating or changing records. Models can make mistakes, misread a document, or produce a plausible answer that is wrong. You are responsible for reviewing anything the assistant produces or changes before you rely on it.
You may not use AI features to generate content that infringes the rights of others, to attempt to extract another user's data, or to circumvent the limits we place on the assistant.
7. Not financial, tax, legal, or investment advice
The Service, including its reports, categorizations, projections, and AI responses, is provided for informational and bookkeeping purposes only. It is not financial, tax, legal, accounting, or investment advice, and it is not a substitute for a qualified professional. Decisions you make based on the Service are your own.
8. Acceptable use
You agree not to:
- Use the Service in violation of any law or to further any unlawful purpose, including money laundering or fraud.
- Connect or attempt to connect a financial account you are not authorized to access.
- Access another user's data, or attempt to, other than through the access they have granted you within the Service.
- Probe, scan, or test the vulnerability of the Service, or bypass any authentication, rate limit, or security measure.
- Reverse engineer, decompile, or scrape the Service, or use it to build a competing product.
- Upload malicious code or content that infringes the rights of others.
- Place unreasonable load on the Service or interfere with its operation or with other users.
- Misrepresent your identity or your affiliation with any person or organization.
9. Your content
You own the financial records, files, and other content you provide to the Service. You grant BigBooks a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display that content solely to operate, secure, and improve the Service and to fulfill your requests, including requests made through Connected Apps and the AI assistant.
You are responsible for the content you provide, including the accuracy of imported statements and the right to upload any document. We may remove content that violates these terms.
10. Fees and billing
Some features require a paid plan. Fees are billed in advance on a recurring basis through Stripe, at the price shown when you subscribe, plus applicable taxes. By subscribing, you authorize us to charge your payment method for each billing period until you cancel.
You can cancel at any time, and the cancellation takes effect at the end of the current billing period. Fees are non-refundable except where the law requires otherwise. We may change prices with at least 30 days' notice; continued use after the change takes effect constitutes acceptance.
11. Intellectual property
The Service, including its software, design, documentation, and trademarks, is owned by BigBooks and its licensors and is protected by intellectual property law. These terms grant you a limited, revocable, non-transferable right to use the Service; they do not transfer any ownership.
If you send us feedback or suggestions, you grant us the right to use them without obligation to you.
12. Third-party services
The Service depends on third parties, including data aggregators, financial institutions, model providers, payment processors, and cloud infrastructure. We are not responsible for their availability, accuracy, or conduct, and their terms govern your relationship with them where they apply.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access, or the access of any OAuth client, if you breach these terms, create risk or legal exposure for us, or if we discontinue the Service, and we will give you reasonable notice where practical.
On termination your right to use the Service ends, and we will delete your data as described in the Privacy Policy. Sections that by their nature should survive, including your content license for retained data, disclaimers, limitations of liability, indemnification, and governing law, survive termination.
14. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, BIGBOOKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR THE DATA IT PROVIDES WILL BE ACCURATE, COMPLETE, TIMELY, UNINTERRUPTED, OR ERROR-FREE.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BIGBOOKS AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED US DOLLARS. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.
16. Indemnification
You agree to defend, indemnify, and hold harmless BigBooks from claims, damages, and expenses, including reasonable attorneys' fees, arising from your content, your use of the Service, your Connected App or OAuth client, or your breach of these terms.
17. Governing law and disputes
These terms are governed by the laws of the United States and of the state in which BigBooks is organized, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us and attempt in good faith to resolve the dispute informally for at least 30 days. Any claim must be brought in the state or federal courts located in that state, and you consent to their jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
18. Changes to these terms
We may revise these terms from time to time. We will post the revised terms here and update the effective date, and for material changes we will notify you by email or through the Service before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised terms.
19. General
These terms and the Privacy Policy are the entire agreement between you and BigBooks about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to the email address on your account.
20. Contact
